IBBI Registered Valuation Services

Audit-defensible valuation reports prepared by our team of IBBI-registered valuers, for compliance under the Companies Act 2013, Income Tax Act, ESOP, FEMA, SEBI, and IBC.

The standard we build to

When a transaction triggers a statutory valuation, the report has to hold up under an auditor's review and a regulator's scrutiny, not just produce a number. Equirium Analytics delivers IBBI registered valuation reports built to that standard: methodology-led, fully documented, and signed by the correctly authorized professional for each framework.

QUICK ANSWER

What is an IBBI registered valuation?

An IBBI registered valuation is a valuation prepared by a valuer registered with the Insolvency and Bankruptcy Board of India (IBBI) under the Companies (Registered Valuers and Valuation) Rules, 2017. It is mandatory for specific transactions under the Companies Act 2013 and the IBC, 2016 such as issuing shares on a private-placement basis, mergers and schemes, related-party transactions, and insolvency resolution and cannot be replaced by an internal or informal estimate. At Equirium Analytics, these reports are delivered by our team of IBBI-registered valuers.

Good to know

Key Facts About IBBI Valuations

  • The IBBI (Insolvency and Bankruptcy Board of India) registers and regulates valuers under the Companies (Registered Valuers and Valuation) Rules, 2017.
  • A registered-valuer report is mandatory for specific transactions under the Companies Act 2013 and the IBC, 2016. It cannot be substituted by an internal or director's estimate.
  • Valuation reports are date-specific: fair market value reflects a defined valuation date and may need to be refreshed if the transaction date moves materially.
  • The same value can be derived under different frameworks, but the authorized signatory and the prescribed standard differ, which is why framework selection matters before the work begins.
  • Equirium has delivered 350+ regulatory valuations with a 100% acceptance record with auditors and regulators to date.

Frequently Asked Questions

1Do we need an IBBI registered valuer? We are a private limited company and want to transfer equity shares. What valuer registration is required?
Yes. You need an IBBI registered valuer. It attracts compliance under section 62. You will require a valuation report from the IBBI registered professional. And that IBBI registered valuer must be registered under the Securities and Financial asset class.
2Who is legally authorised to sign an IBBI registered valuation report?
For Companies Act 2013 and IBC matters, the report must be signed by a valuer registered with the IBBI for the relevant asset class. Other frameworks prescribe their own signatory. For example, FEMA pricing certificates must come from a Chartered Accountant, Merchant Banker, or Cost Accountant. Equirium assigns the correctly authorised professional on our team to each engagement.
3Can one valuation report be used for both income-tax and FEMA purposes?
Generally no. Rule 11UA (Income Tax) and FEMA pricing follow different prescribed methods and require different authorised signatories, so a single report rarely satisfies both. We can, however, structure both reports efficiently from one underlying analysis.
4What makes a valuation report "audit-defensible" if a regulator questions it?
A defensible report shows its work: a clearly stated valuation date, documented assumptions, the prescribed methodology, and supporting working papers all traceable to source data. We retain this file and provide methodology explanations and representation if a query is raised.
5Does a startup with no profits still need a registered-valuer valuation?
Yes. The requirement is triggered by the transaction such as issuing shares under Section 62(1)(c) and not by profitability. Loss-making and pre-revenue companies are valued using forward-looking and asset-based methods appropriate to their stage.
6What is the difference between fair value and liquidation value under IBC?
Under the IBC, fair value estimates the price assets would fetch on the valuation date between willing parties, while liquidation value estimates the realisable value if assets were sold in a distressed, time-bound sale. Both are required in insolvency resolution and are typically determined by two registered valuers.
7Which missing documents delay a valuation most often?
Incomplete audited financials, unsigned management projections, and an unclear shareholding or cap-table history are the most common causes of delay. We provide a tailored checklist up front so the file is complete before analysis begins.
