SPAC and De-SPAC Valuation Services

Why SPAC and De-SPAC Transactions Require Specialist Valuation ?
A single SPAC transaction can involve a dozen or more distinct financial instruments, each with its own classification, measurement basis, and reporting trigger. Warrants may require liability classification under ASC 815. Earnout shares introduce contingent consideration that must be remeasured to fair value every reporting period. Purchase price allocation demands identification and measurement of intangible assets under ASC 805. A generalist approach to any of these creates exposure.
The Regulatory Landscape After SEC's 2024 Final Rules
The SEC's final rules adopted in July 2024 imposed significant additional disclosure and procedural requirements on both SPAC IPOs and de-SPAC business combinations. These rules mandate enhanced disclosure around sponsor conflicts of interest, shareholder dilution analysis, and the treatment of financial projections in SEC filings. The rules also clarified the potential liability of participants acting as underwriters in de-SPAC transactions. For valuation professionals, the practical effect is clear: every fair-value conclusion now faces greater regulatory scrutiny, and the documentation supporting those conclusions must be more rigorous than ever.
What Happens When Valuations Go Wrong ?
Warrant reclassification from equity to liability is one of the most common valuation-related restatement triggers in SPAC transactions. When public or private placement warrants are initially classified as equity but later determined to meet the criteria for liability treatment under ASC 815, the resulting restatement requires retroactive fair-value remeasurement, restated financial statements, and potential SEC comment letters. Earnout miscalculations and flawed purchase price allocations create similar cascading effects, from auditor qualification to shareholder litigation. Early coordination between the sponsor, the target company, legal counsel, the auditor, and the valuation specialist is the single most effective way to eliminate restatement risk.
What We Value Across the SPAC Lifecycle ?
SPAC valuation is not a single engagement. It is a series of interconnected analyses that correspond to specific stages in the transaction lifecycle. The instruments that require valuation, the standards that govern them, and the intended users of the reports differ at each stage.
Pre-IPO and IPO Stages
Before the SPAC goes public, sponsors structure the equity and warrant economics that define their returns. This stage typically requires fair-value measurement of the sponsor promote (founder), public warrants, private placement warrants, rights, and units. The initial fair-value measurement at this stage sets the baseline for all subsequent reporting and determines classification (equity versus liability) for each instrument.De-SPAC Transaction Stage.
The de-SPAC merger is where the highest concentration of valuation work occurs. The target company's enterprise value must be determined through a rigorous analysis that accounts for redemption scenarios, PIPE dilution, and the specific terms of the merger consideration. This is also the stage where fairness opinions are typically delivered to the board or special committee of the SPAC, confirming that the transaction consideration is fair from a financial point of view. PIPE securities, if part of the deal structure, require separate valuation to support pricing and allocation.Post-Merger Financial Reporting.
After the de-SPAC closes, the combined entity faces a new set of reporting obligations. Purchase price allocation under ASC 805 requires identification and fair-value measurement of all acquired tangible and intangible assets, assumed liabilities, and any resulting goodwill or bargain purchase gain. Warrants that were classified as liabilities must be remeasured to fair value at each reporting date under ASC 815 and ASC 820. Earnout and contingent consideration arrangements require ongoing fair-value remeasurement until they vest, settle, or expire. Share-based compensation issued in connection with the transaction must be measured under ASC 718, and cheap-stock considerations may apply to equity grants made in periods preceding the de-SPAC.
Our Methodology
Equirium Analytics applies valuation methodologies that are consistent with NACVA professional standards, the ASC framework, and accepted practices for SEC-filed reports. Every methodology selection is documented, justified, and defensible under audit review.
For target company enterprise value, we apply the income approach (discounted cash flow using free cash flow to the firm or free cash flow to equity), the market approach (guideline public company method and guideline transaction method), and, where appropriate, a backsolve method anchored to observable transaction data. Redemption rate scenarios and PIPE dilution are modelled explicitly to reflect the range of possible post-closing capital structures.
Warrants, earnouts, and other contingent instruments require option-pricing models calibrated to the specific terms and conditions of the instrument. We use Black-Scholes, binomial lattice, and Monte Carlo simulation models depending on the complexity of the payoff structure. For warrants, the analysis includes a detailed classification assessment under ASC 815 to determine whether the instrument meets the criteria for equity classification or must be treated as a derivative liability measured at fair value.
Purchase price allocation requires a systematic process for identifying all acquired assets and assumed liabilities, including intangible assets that may not appear on the target's pre-acquisition balance sheet. We identify and measure customer relationships, developed technology, trade names, non-compete agreements, and other intangible assets using the income approach (multi-period excess earnings, relief from royalty) and the cost approach. Goodwill is measured as the residual after all identifiable assets and liabilities are recorded at fair value. We coordinate directly with the engagement auditor throughout the allocation process to streamline review and approval.
